1. Eligibility

The Service is available exclusively to:

• Licensed law firms with an active digital presence.
• Agencies or vendors representing such firms.
• Organizations actively investing in online traffic generation.
• Clients approved by NETFLY based on service compatibility and market fit.

NETFLY may limit access by region or vertical to preserve platform performance and exclusivity.

2. Description of Services

NETFLY Audiences™ is a proprietary Data-as-a-Service (DaaS) platform that provides anonymized, event-based audience data for use in digital advertising across platforms such as Meta, Google, DV360, and Connected TV.

NETFLY Shortcuts™ is an AI-powered, cookieless conversion optimization tool that dynamically engages website visitors to improve conversion rates and performance metrics.

3. Trial Access

Qualified Clients may receive trial access to one or more components of the Service:

• NETFLY will perform A/B testing and limited setup during the trial.
• Trials are granted at NETFLY's discretion and may be revoked for misuse or noncompliance.
• Trial access does not guarantee continuation of the service post-trial.

4. Subscription and Billing

• Discounts for multi-region access may apply at NETFLY's discretion.
• Subscriptions are billed monthly in advance and are non-refundable once billed or once data or software access has been granted.
• Continued access post-trial requires enrollment in the NETFLY Advantage Suite.

5. Usage Requirements

Clients agree to:

• Follow all installation instructions and technical requirements.
• Use audience and software tools exclusively for marketing and conversion optimization on supported platforms.
• Maintain the integrity of A/B testing and analytics by avoiding data manipulation.
• Not share, sublicense, or repurpose the Service outside of approved use.

6. Data Privacy and Compliance

• All audience data is fully anonymized and encrypted.
• No personally identifiable information (PII) is collected or stored.
• NETFLY's tools are cookieless and designed to align with current digital privacy standards.
• Clients are responsible for ensuring their usage complies with all applicable laws and industry guidelines.

7. Exclusivity

Exclusivity for specific geographic regions or audience segments may be granted through a separate agreement. Such arrangements are not included in the standard subscription and are subject to availability.

8. Intellectual Property

All software, data, systems, interfaces, and brand assets are the sole property of NETFLY. Clients may not replicate, reverse-engineer, resell, or create derivative works based on any part of the Service.

9. Confidentiality

Any documentation, strategies, and performance metrics exchanged during onboarding or during the term of the agreement are confidential and may not be disclosed without prior written consent from NETFLY.

10. Limitations of Service

• NETFLY Audiences does not generate leads directly but enhances targeting precision.
• NETFLY Shortcuts enhances performance by improving conversion rates but does not generate web traffic.
• Results depend on client implementation, traffic quality, and consistency.

11. No Guarantees or Warranties

The Service is provided "as is." NETFLY disclaims all express or implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the fullest extent permitted by law, NETFLY shall not be liable for:

• Any indirect, incidental, special, or consequential damages.
• Loss of profits, business interruption, data loss, or reputational harm.

NETFLY's total liability will not exceed the fees paid by the Client in the three months preceding the event that gave rise to the claim.

13. Termination

Either party may terminate the agreement with 30 days' written notice. NETFLY may terminate immediately if:

• Payments are overdue.
• The Client violates any provision of these Terms.
• Usage interferes with platform stability or violates compliance policies.

Upon termination, all access will be revoked, and all use of NETFLY data, code, or assets must cease immediately.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California. Any disputes shall be resolved via confidential binding arbitration under the rules of California.

15. Amendments

NETFLY may update these Terms from time to time. Clients will be notified of material changes. Continued use of the Service constitutes acceptance of the updated Terms.
